1. Who We Are
CREATE is a trading name operating a digital agency from Work Hub, Market Square, Tiverton, Devon, EX16 6FZ (UK) with an additional office at Mazaya Business Avenue AA-1, JLT, Dubai (UAE). Contact: hello@createagency.uk.
2. Scope Of These Terms
These terms govern:
- Your use of the createagency.uk website and sub-brand websites
- Any engagement between you and CREATE unless overridden by a signed contract or statement of work
Specific projects are covered by a separate Statement of Work (SoW) or written proposal. Where those conflict with these terms, the SoW takes precedence.
3. Website Use
By using this website, you agree:
- Not to use it for unlawful, fraudulent, or harmful purposes
- Not to attempt to gain unauthorised access to systems or data
- Not to copy, reproduce or redistribute website content without permission
- That all content, logos, copy, imagery and code is owned by CREATE or licensed to us
4. Engaging Our Services
All engagements begin with a written proposal detailing scope, timeline, deliverables and cost. Work begins once the proposal is accepted (by email, signed agreement, or deposit payment).
4.1 Payment
- A 50% deposit is typically required to begin project work (or as specified in the proposal)
- Balance invoices are payable within 14 days of issue unless otherwise agreed
- Monthly retainers (SEO, Ads, hosting, care plans) are billed in advance
- Late payments may incur interest at 4% above Bank of England base rate
- All prices are exclusive of VAT unless stated
4.2 Timelines
We commit to agreed timelines but rely on timely client input (content, approvals, assets). Delays in client input will extend project timelines proportionately.
4.3 Revisions & Scope
Each proposal includes a defined number of revision rounds. Changes beyond the agreed scope are quoted separately before work proceeds.
5. Intellectual Property
On full payment of all invoices, ownership of final delivered work (design files, code, content) transfers to the client, except:
- Third-party licences (stock imagery, fonts, plugins) remain bound by their own licences
- Pre-existing CREATE tools, frameworks and methodologies remain our property — you receive a perpetual licence to use them within the delivered work
- We retain the right to display completed work in our portfolio and case studies unless you specifically opt out in writing
6. Hosting & Ongoing Services
- Hosting and retainer services roll on a monthly basis unless a minimum term is specified
- Either party may cancel with 30 days written notice
- We guarantee 99.5% uptime on managed hosting but are not liable for upstream provider outages beyond our reasonable control
7. Warranties & Liability
We warrant to deliver services with reasonable skill and care. To the maximum extent permitted by law:
- We do not warrant that the website or services will be error-free or uninterrupted
- Our total liability for any claim is limited to fees paid in the 12 months preceding the event giving rise to the claim
- We are not liable for indirect, consequential or loss-of-profit damages
- Nothing in these terms excludes liability for death, personal injury caused by negligence, or fraud
8. Cancellation & Refunds
- Deposits on project work are non-refundable once work has commenced, to cover scheduling and strategy time invested
- If the client cancels mid-project, we invoice for work completed up to the cancellation date
- Retainer cancellations follow the 30-day notice rule in Section 6
9. Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement. Obligations continue for 3 years after the engagement ends.
10. Force Majeure
Neither party is liable for failures caused by events beyond reasonable control (natural disasters, war, government action, internet outages, etc.).
11. Governing Law
These terms are governed by the laws of England and Wales. Any dispute falls under the exclusive jurisdiction of the English courts.
12. Changes To These Terms
We may update these terms from time to time. The current version is always available at this URL. Continued use of our services after changes constitutes acceptance.
